Shprd - Terms of Service

Welcome to Shprd, a faith-centered family operating system provided by Genesis Labs ("we," "us," "our," or the "Company"). These Terms of Service ("Terms") govern your access to and use of the Shprd application, website, and related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Eligibility and Account Terms

1.1 Age Requirements

You must be at least 18 years of age to create a Shprd account. By registering, you represent and warrant that you are 18 or older.

1.2 Family Accounts and Children Under 13

Shprd allows parents and legal guardians to create accounts for their children, including children under the age of 13. If you add a child under 13 to your family account, you represent and warrant that:

• You are the parent or legal guardian of that child.
• You consent to the collection and use of your child's personal information as described in our Privacy Policy.
• You understand that you are responsible for your child's use of the Service.
• You have the authority to provide consent on behalf of your child under the Children's Online Privacy Protection Act ("COPPA").

Parental Consent: Before a child under 13 can use any features of the Service, the parent or legal guardian who manages the family account must provide verifiable parental consent. We will not knowingly collect personal information from a child under 13 without such consent. See our Privacy Policy for details on how we verify parental consent and what information is collected.

1.3 Account Registration

When you create an account, you agree to:

• Provide accurate, current, and complete information.
• Maintain and promptly update your account information.
• Keep your password secure and confidential.
• Accept responsibility for all activity that occurs under your account.
• Notify us immediately of any unauthorized use of your account.

1.4 One Account Per Family

Each family account is intended for use by a single household. You may not share your account credentials with individuals outside your household or allow others to access your account.

2. Description of the Service

Shprd is a faith-centered family operating system that integrates Bible study, family calendar, task and chore management, meal planning, a reward and character-building system, and other household tools. The Service is offered in multiple subscription tiers:

• Essentials (Free): Bible reading, basic task management, calendar, and family management features.
• Plus ($9.99/month): Includes all Essentials features plus health tracking, Shprd AI assistant, meal planning, and exercise tools.
• Premium ($19.99/month): Includes all Plus features plus homeschool tools, emergency preparedness, and church integration.

We reserve the right to modify, update, or discontinue features of any tier at any time with reasonable notice to subscribers.

3. Acceptable Use

3.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. The Service is designed for personal family use and household management.

3.2 Prohibited Conduct

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks.
• Use the Service to transmit any harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable content.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
• Use any automated means (bots, scrapers, crawlers) to access or interact with the Service without our express written permission.
• Interfere with or disrupt the integrity or performance of the Service.
• Resell, sublicense, or commercially exploit the Service without our prior written consent.
• Misrepresent your identity or your relationship to any child whose information you provide.
• Use Shprd AI or any AI features to generate content that is harmful, misleading, or contrary to the intended purpose of the Service.
• Manipulate or exploit the reward and points system in any manner inconsistent with its intended family use.

3.3 Enforcement

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these Terms. Such action may include removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

4. Billing, Payment, and Subscription Terms

4.1 Free Tier

The Essentials tier is available at no charge. We reserve the right to modify the features available in the free tier at any time.

4.2 Paid Subscriptions

Paid subscription plans (Plus and Premium) are billed on a recurring basis (monthly or annually, depending on the plan you select). By subscribing to a paid plan, you authorize us to charge your designated payment method at the beginning of each billing cycle.

4.3 Payment Processing

All payments are processed through Stripe, a third-party payment processor. By providing your payment information, you agree to Stripe's terms of service and privacy policy. We do not store your full credit card number or payment credentials on our servers.

4.4 Price Changes

We may change our subscription prices from time to time. Any price changes will take effect at the start of your next billing cycle following the date of the price change. We will provide you with reasonable advance notice of any price change so that you may cancel your subscription before the change takes effect.

4.5 No Refunds

All subscription fees are non-refundable. We do not provide refunds or credits for any partial subscription periods, unused features, or time remaining on your current billing cycle.

4.6 Cancellation

You may cancel your paid subscription at any time through your account settings. Upon cancellation:

• Your subscription will remain active through the end of your current billing period.
• You will not be charged for subsequent billing periods.
• After your current billing period ends, your account will revert to the free Essentials tier.
• Your data will be retained in accordance with our Privacy Policy.

4.7 Annual Subscriptions

If you purchase an annual subscription, it will renew automatically at the end of each 12-month period unless you cancel before the renewal date. The no-refund policy applies to annual subscriptions, including mid-year cancellations.

5. Reward Points and Charitable Donations

5.1 Reward Points

Shprd includes a reward and points system designed to encourage positive behavior and teach stewardship to children. Reward points:

• Have no cash value and are not redeemable for cash.
• Are managed and controlled by the parent or legal guardian who administers the family account.
• May be earned through activities such as completing chores, Bible reading, and other positive behaviors as configured by the parent.
• May be redeemed for rewards as defined by the parent within the Service.

5.2 Charitable Donations

The Service allows children to redeem earned points for charitable donations through the Tremendous API. When a charitable donation is initiated:

• The parent or legal guardian must approve the donation.
• Donations are processed through Tremendous, a third-party service provider, and are subject to their terms.
• Genesis Labs does not guarantee the tax-deductibility of any donation. Consult a tax professional regarding the deductibility of charitable contributions.
• Once a donation is processed, it cannot be reversed.

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its original content, features, functionality, design, and underlying technology, is and will remain the exclusive property of Genesis Labs and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

6.2 Your Content and Data

You retain ownership of all personal data, family information, notes, annotations, and other content that you submit, post, or display through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to use, store, and process Your Content solely for the purpose of providing and improving the Service for you.

We will not sell, share, or use Your Content for advertising purposes. Your family's data is private and is not shared with other families or users of the Service.

6.3 Feedback

If you provide us with suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use, modify, and incorporate that Feedback into the Service without any obligation to you.

7. Third-Party Services

The Service integrates with third-party services, including but not limited to:

• Stripe for payment processing
• Google Calendar for calendar synchronization
• Tremendous for charitable donation processing
• Resend for transactional email delivery

Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices or content of any third-party service.

If you connect Google Calendar, Shprd's access to and use of your Google data is described in our Privacy Policy and adheres to the Google API Services User Data Policy, including its Limited Use requirements. You can disconnect the integration at any time to revoke Shprd's access.

8. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the practices described in the Privacy Policy.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, GENESIS LABS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
• THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE.
• ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.

SHPRD AI AND ANY AI-GENERATED CONTENT ARE PROVIDED FOR INFORMATIONAL AND DEVOTIONAL PURPOSES ONLY. AI-GENERATED RESPONSES SHOULD NOT BE RELIED UPON AS AUTHORITATIVE THEOLOGICAL COUNSEL, PROFESSIONAL ADVICE, OR A SUBSTITUTE FOR PERSONAL STUDY OF SCRIPTURE, PASTORAL GUIDANCE, OR PROFESSIONAL CONSULTATION.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GENESIS LABS, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH:

• YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE.
• ANY CONTENT OBTAINED FROM THE SERVICE.
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

11. Indemnification

You agree to indemnify, defend, and hold harmless Genesis Labs, its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your access to or use of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property, privacy, or publicity rights.
• Any content you submit through the Service.
• Your misrepresentation of your relationship to any child whose account you manage.

12. Dispute Resolution

12.1 Informal Resolution

Before filing any formal legal action, you agree to first contact us at hello@shprd.us and attempt to resolve the dispute informally for at least thirty (30) days.

12.2 Binding Arbitration

If we cannot resolve a dispute informally, any controversy or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration shall be conducted in the State of Illinois. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND GENESIS LABS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

12.4 Exceptions

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief in court for matters related to intellectual property, data security, or unauthorized access to the Service.

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us at hello@shprd.us or through your account settings. Upon termination, your right to use the Service will cease immediately (subject to Section 4.6 for paid subscribers).

13.2 Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including but not limited to situations where:

• You breach any provision of these Terms.
• We are required to do so by law.
• We reasonably believe your conduct may cause harm to other users, us, or third parties.
• Your account has been inactive for an extended period.

13.3 Effect of Termination

Upon termination:

• All rights granted to you under these Terms will cease.
• You remain liable for any obligations incurred prior to termination.
• We may, but are not obligated to, delete your data in accordance with our Privacy Policy.
• At your request made prior to termination, we will provide you with a copy of your data in a commonly used format, subject to our data retention policy.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Illinois.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Service or by email to the address associated with your account at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the changes take effect.

16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Genesis Labs regarding the Service.

16.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16.3 Waiver

The failure of Genesis Labs to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

16.5 Force Majeure

Genesis Labs shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of war, terrorism, pandemics, government actions, or failures of third-party services.
